These terms and conditions apply to placing an order of product or services with Vesta Interiors London Ltd. By placing an order, you agree to be bound by the terms and conditions set out below. If you do not agree to be bound by these terms and conditions, you may not place an order.

Before you place an order, if you have any questions relating to these terms and conditions, please contact your personal representative or contact our customer service team by email - enquiries@vesta-london.co.uk or call us on 0800 1357888 9am - 5pm, Monday-Thursday or 9am - 4pm, Fridays.

These terms and conditions will apply to all orders for products or services which are being delivered within England and Wales. For any location outside of England and Wales, please call to discuss.

Interpretations:

Conditions - These terms and conditions
Product/Goods/Items - Furniture, accessories and any other tangible item
Services - Any paid service including refurbishments, design fees
We/Us/Our/Vesta/Company - We are Vesta Interiors London Limited a company registered in England and Wales under number 10571102 whose registered office is at 26 Bates Industrial Estate, Church Road, Harold Wood RM3 0JA
You/Your/Customer - You the consumer/customer, the person, persons or company placing the order.
Quote/Quotation - We provide you with an initial list of prices for products and services.
Order - Your order is the acceptance of our quotation.
Consultation - You consult with one of our representatives about your requirements.
Site Survey - One of our representatives attend your property and produce a quote based on layout, style and accessibility.
Bespoke - Any item made to measure, created specifically for you.
Special - Any item not part of our core stock holding, ordered in especially for you.
Check Measure - A specialist will attend the property and double check measurements taken by our representative or estimates made from floor plans, before any works are carried out.

1 Indemnification

1.1 By placing an order, the person doing so confirms that he or she is authorised to do so on behalf of the named person, company or other legal entity that is given as the Customer.
1.2 By engaging us to carry out any work, the Customer confirms legal entitlement to do so. In particular, the Customer warrants entitlement to grant access to the property or any other area and to make any required alterations to it.
1.3 Where we are instructed to dispose of any items, the Customer confirms that he is the owner or that he is duly authorized by the owner. The Customer indemnifies Vesta against any claim that the Company is not entitled to carry out the instructions.

2 Quoting and Ordering:

2.1 All prices listed on the quote are correct at the date of receiving your quote and are valid for 30 days thereafter, excluding window dressings and refurbishment works, which are always subject to check measure.

2.2 When you are happy with your quote and have accepted it, you warrant that any and all information given is accurate and complete.

2.3 Payment

a) Full payment is required for non-credit account holders upon confirmation of your order.
b) For credit account holders, please refer to your credit agreement for payment terms.
2.4 Items quoted are subject to availability at the time of placing your order. We will use our best endeavour to ensure that all items quoted are available on the expected date of delivery, yet we reserve the right to discontinue any listed item without notice, either temporarily or permanently. We are not liable for any modification, suspension or discontinuation of any listed item. Alternative items of an equal or higher value will be offered in these cases.

2.5 No contract for the sale of any product will exist between you and Vesta until we accept your order by dispatching the product/service to you. Once the products are at the intended address, they then become your responsibility. Although title and ownership of the products will not pass until full payment has been received.

2.6 Prices and charges include VAT at the rate applicable at the time of the order.

3 Delivery
3.1 Please note that timescales for delivery and delivery charges will vary depending on the availability of the goods.

3.2 We will provide you with an estimated delivery date once your order is confirmed, factors such product availability, legal completion and handover will be considered when offering this preliminary date.

3.3 We will confirm your delivery date 7-14 days before delivery provided completion and handover has taken place.

3.4 Whereby legal completion has not taken place 7 days before delivery date, we reserve the right to amend your delivery date, but will confirm with you directly.

3.5 In circumstances whereby we confirm your delivery date at your own request within 7 days without legal completion taking place, and then subsequently the delivery date is amended as a result of delayed completion, or you cancel/move the delivery date for any other reason, Vesta will charge fixed fees as follows:

a) £350+vat up to 3 days (72 hours) before the confirmed delivery date.

b) £550+vat within 2 days (48hrs) before the confirmed delivery date.

c) £750+vat on the day (within 24hrs) of the confirmed delivery date.

3.6 Occasionally our delivery to you may be affected by an event outside our control. An event outside our control means any act or event beyond our reasonable control, including but not limited to strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack, natural disasters, difficult weather, failure of public or private telecommunications networks, non-performance by suppliers/sub-contractors or road closures that effect the delivery location. We will ensure we contact you in any such circumstance.

3.7 Delivery of an order shall be completed when we deliver the goods to the address you gave us.

3.8 If we are not able to deliver the whole of the order at one time due to operational reasons or shortage of stock, we may deliver the order in instalments. We will not charge you extra delivery costs for this unless we have discussed this with you first. Each instalment shall constitute a separate contract governed by these Terms. If we are late delivering an instalment or one instalment is faulty, that will not entitle you to cancel any other instalment.

3.9 If any item is found to be damaged/faulty on delivery, Vesta will provide a replacement within 5-7 working days for standard items, for special or bespoke items there will be a lead time for sourcing the replacement item. You will be informed immediately if this happens.

3.10 The goods will be your responsibility from the completion of delivery.

3.11 Title and ownership of the goods and/or services supplied will only pass once we have received payment in full.

4 Access
4.1 Arrangements can be made to meet the access contact directly at the property.
4.2 Alternatively, we can collect keys from an access contact in the vicinity of the delivery address, meaning within the same post code or one immediately adjacent or within a 15 minute drive according to Google maps.
4.3 We will return the keys to the same contact person/organization or to any other nominated contact in the vicinity. This will normally be on completion of the delivery unless otherwise requested. Where it is not practicable to do this, we may be able to make an alternative arrangement to return them at the earliest reasonable opportunity.
4.4 There must be road access available to the property for commercial vehicles. Parking must be available within a distance that is reasonable in relation to manually carrying all the items that are to be delivered and removed.
4.5 The property must be in suitable condition to allow delivery of the items ordered. The property must be free from any relevant health and safety hazards. Any flooring, carpeting, electrical, plumbing or other such work in the areas where items are to be delivered must be completed. Any building or refurbishment work that may affect the delivery must be completed throughout the delivery route (e.g. all paint must be dry).
4.6 There must be space within the property sufficient to deliver and install the items.
4.7 Customers are responsible for checking the dimensions of any items ordered to ensure that there will be adequate space for access in lifts, staircases, hallways, doorways, etc. as well as in the space where the item is to be placed whereby a site visit hasn’t been made by one of our representatives.
4.8 All staircases and lifts to be used for access to the property must be accessible and available throughout the scheduled delivery time.
4.9 The Company will use our best endeavour to complete any delivery or removal as far as is reasonably practicable. We reserve the right to refuse to carry out any delivery that we deem to be unreasonable. In such cases, we will contact the customer to arrange an alternative delivery solution.
4.10 Should any of the criteria listed above prevent Vesta from completing the delivery using reasonable means, the customer is liable to pay a charge towards the costs of the failed delivery. Failed delivery charge on the day is £750+vat.

4.11 If the Installations team believes that delivery of an item to the room of choice may cause damage to the Customer's item or property or infringe Health & Safety regulations, we will inform the Customer. In such circumstances Vesta will not be liable for any damage to the item or the Customer's property as a result of attempting installation on the Customer's instructions. We reserve the right to decline to carry out the delivery.

5 Signatures
5.1 Delivery: Where an Access Contact is at the property, we require the person to sign to confirm satisfactory receipt of the goods. If this person is dissatisfied in any way with the delivered items, this should be recorded on the form. Likewise, any rejected or missing items should be noted on the form.
5.2 Key collection: Where we are engaged to collect keys, we will require a signature to confirm they have been returned. Such signatures do not confirm any acceptance of the goods delivered.

6 Returns
6.1 The Customer may return any standard stock item for any reason whatsoever within fourteen days of the delivery date, provided the item has not been used. Mattresses and bed linen are excluded from this policy.
6.2 This policy excludes bespoke goods and special items ordered in specifically for the Customer, such items are not returnable unless faulty under warranty.
6.2 Where the standard stock item is rejected at the time of delivery, no collection fee will apply.
6.3 Customers may return standard stock items in person to our warehouse. No collection fee will apply to such returns. Vesta should be contacted in advance with all necessary details of the delivery to make arrangements. The products must be protected and returned in perfect re-saleable condition, free from any defects. If the products are not in such condition, no refund will be offered.
6.4 The return of any items by post or courier or otherwise is at the Customer's expense and risk. If we accept that the item is faulty and covered by warranty, we will arrange the return. We will not accept any cost for the return delivery unless explicitly approved in advance.
6.5 We appreciate returning furniture can be difficult and so we can arrange a collection of unwanted goods for you. Unless the goods are accepted to be irreparably faulty and under warranty, a collection fee will apply, our standard charge is 25% of any item being returned plus a delivery collection charge dependent on the size of the return. Any collection charge will be agreed with the Customer before arranging the collection. Collections will be arranged in the normal course as set out for deliveries.
6.6 Refunds will be not be offered for any item that has been assembled, whether by Vesta or otherwise (e.g. frame beds and flat-packed wardrobes). This restriction does not apply where the item is found to be faulty within the warranty period.
6.7 The value of the refund will be the price paid for any returned item less 25% and any charges for damage to the item while in the Customer's possession. Any collection charge or other such fees will be deducted from the refund.

7 Warranty

7.1 Vesta has a standard Warranty period of two years from the date of delivery of the item.

7.2 Warranty Coverage for:

Furniture and Upholstery:

Your warranty covers you against all manufacturing faults:

Loose joints
Timber, welding breakage
Spring rails breakage
Drawer runner failure, providing you’ve adhered to the weight limit
Stitching coming loose

Your warranty won’t cover:

If the timber has been subject to adverse moisture
If there is evidence of product abuse, misuse or use in a non-domestic environment
If the product has not been properly maintained
If the product is in an unsanitary condition (for example, caused by pets). We reserve the right to refuse to collect and/or dispose of any unsanitary product
Sun bleaching
If the product has been moved to a different property to which it was delivered and installed.

Mattresses and Divans:

Your guarantee covers you against faults for your mattress and divan including:

Mattresses:

Tuft or zip breakage
Spring unit failure
Side stitching coming apart

Divan bases:

Drawer runner failure, providing you’ve adhered to the weight limit
Castor breakage
Frame construction failure

Your warranty won’t cover:

Settlement of fillings
We reserve the right to refuse to collect and/or dispose of any unsanitary mattress or divan base
If a divan set has been purchased, then only the faulty element is covered – i.e. either the mattress or base
Your warranty will not apply if there’s evidence of product abuse, misuse or use other than domestic by you or family
If animals have been allowed to sleep or walk on the product

7.3 Claiming on your warranty:

If you need to make a claim, please email our team at enquiries@vesta-london.co.uk or call 0800 1357888 9am - 5pm, Monday-Thursday or 9am- 4pm Fridays.

Things to note when claiming:

a) If your product cannot be repaired or we’re unable to offer a repair service, we will replace it with the same one or, if no longer available, substitute an equivalent specification or value towards the purchase of a new product at our discretion

b) If you are unsure of how to correctly wash or care for your product, please contact us and we will be happy to provide you with instructions.

7.4 Unless we specifically confirm otherwise in writing before an order is placed, we do not guarantee that any items are suitable for contract use. Contract items can be obtained but these will normally need to be ordered specially.

8 Our Liability to You

8.1 If we are installing the Goods and/or providing Services in your property, we will make good any damage to your property caused by us in the course of installation or performance unless pre-agreed and necessary as part of the installation. We are not responsible for the cost of repairing any pre-existing faults or damage to your property that we discover in the course of installation and/or performance by us.
8.2 We usually only supply the Goods and/or Services for domestic and private use. If you require them for any commercial use, please advise us clearly.

8.3 We hold current Public Liability and Employer Liability insurance.

9 Limitations of Liability

9.1 Vesta Interior Design’s entire liability to the Customer under these Terms will not exceed the price paid for the goods and any other charges relating solely to those goods.
9.2 Vesta is not liable for any loss of revenue, profit, savings, goodwill, business opportunity, injury to reputation or for any other losses to the Customer that are not reasonably foreseeable by the Company when the order is accepted. No liability will be accepted under the contract with Vesta for any losses incurred by any associates, clients, partners, companies or any other person or legal entity related to the Customer except where specifically agreed otherwise in writing in advance.
9.3 We will not accept any responsibility for any losses due to a failure to deliver and install goods within the timescales set out in these Terms where we have made reasonable efforts to do so. This would apply in cases where the item was found to be faulty or damaged or any similar reason or where the Company attempts to make a delivery on the agreed day regardless of whether this is outside of the expected delivery time window. It would also apply where an item is unavailable, but a suitable alternative has been offered.

10 GDPR, Privacy & Personal Data Security

10.1 Personal Data Held:

a) Our overriding principle is that we treat all personal data as confidential.

b) We comply with all relevant legislation.

c) The great majority of personal data we gather is required to fulfil our services. For customers and potential customers, we gather the data relevant to processing their orders and managing accounts such as name, address, email, phone numbers and website. This data is provided by our customers, suppliers and other affiliates related to providing the services.

d) Reflecting the diverse nature of our customer base and the other contacts with whom we work, we hold ‘company contact’ information relating to the legal/billing entity with whom we trade. We also hold ‘person contact’ data relating to individuals within the organisation with whom we interact. (NB where we trade with a private individual, the company contact data may be the same as for the person contact).

e) We typically obtain data directly from our customers and contacts by phone, email or in person. We also obtain data from websites, enquiries, responses to marketing campaigns and publicly available sources. Third parties provide personal data such as where we are engaged by an agent on behalf of their client; in this case we check that consent has been provided by the subject to share the data.

f) Personal data is held in Xero, our accountancy software. The providers are contractually required to manage all data in accordance with demanding confidentiality agreements.

10.2 Use of Personal Data:

a) We use personal data to provide our services effectively and efficiently. This includes sending quotes, orders, invoices & statements, usually by email and resolving any queries. We will contact the relevant person using the most appropriate means in the circumstances. We may take photographs of installations to demonstrate fulfilment or show any issues identified. We use the data for processing payments and conducting credit checks where applicable.

b) We use anonymised data for general analysis purposes. Any analysis containing any personal data is treated as confidential

c) We do not provide personal data to any third parties except where necessary to fulfil orders. Any subcontractors with whom we may share personal data have contractual obligations to meet our safeguarding requirements. We may also share personal data with relevant authorities where required by law but only to the extent required.

d) Personal data unrelated to the customer that is shared with us purely to fulfil orders, such as access contact information, is treated confidentially. We will not use this for any other purpose.

e) Before sharing any personal data in the instances above, we will ensure that the other party is compliant with these regulations. Personal data is provided only where it is needed and on the basis that no consent is given to hold the data beyond the transaction in question or to use it for any other purpose.

f) Where the required consent has been given, Vesta may use your data for basic sales or marketing. We do not share any personal data with any third parties for marketing.

10.3 Your Consent:

a) We will not hold any personal data on you without your consent. If you withdraw your consent to hold an item of personal data, it will be amended or deleted as requested. If you request to remove all personal data, all records will be deleted at the next routine cleansing.

b) We hope that you will consent to allow us to use your data occasionally for selected marketing purposes that are relevant to you. If so, we will ask you to specify the communication means you consent to receive. (As mentioned, any such communication will come only from us.).

c) If you are unwilling to receive any marketing information from us at all, you may still allow us to hold the data purely for transactional purposes. In this case, we will communicate with you only in relation to orders or enquiries you place and related accounting matters.

10.4 Subject to any legal requirements, you have the following rights:

a) To be informed whether we hold any personal information about you;

b) To be informed of the personal information we hold;

c) To correct your data or change your consent to what personal data is held or how it is used.

10.5 Amending and Updating your personal information:

a) We are obliged to keep personal data accurate and current. We wish to do this in any event to ensure that any correspondence is effective and to help us provide our services efficiently.

b) Please notify us of any change to your personal data or consent to either your ‘person contact’ information or any related ‘company contact’ data that you are authorised to amend.
